Terms of Use – Technostate

These Terms of Use constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”) and Stage One Management AB, doing business as Technostate ("Technostate", “we”, “us”, or “our”), concerning your access to and use of the http://www.technostate.se website as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the “Website”). You agree that by accessing the Website, you have read, understood, and agreed to be bound by all of these Terms of Use. If you do not agree with all of these terms of use, then you are expressly prohibited from using the site and you must discontinue use immediately.

1. Definitions

• Agreementmeans your acceptance of these Terms and Conditions, pursuant to which a legal relationship for the provision of Services shall be established.

• Servicesmeans any services as offered by Technostate, whether digitally or not. These Services are as advertised on the Website and are legally supported by these Terms of Use.

• Technostate means Stage One Management AB, the business established at [address] under business number [number], doing business as Technostate, who offers the Services under these Terms of Use.

• Websitemeans our website on technostate.se, where the Services are advertised.

2. General Applicability and Amendments

• These Terms of Use apply to all Services offered by Technostate, except where expressly indicated to the contrary.

• You may not use the Services nor accept these Terms Use if you are not of legal age or have the required mental capacity to form a binding contract with Technostate.

• The use of the Services requires the unconditional acceptance by you of the applicability of these Terms of Use. It is your responsibility to read and understand the Terms of Use prior registering to use the Services. If you do not agree to these Terms of Use, do not register for the use of the Services and do not use the Website.

• All terms and conditions maintained by you that are contrary to these Terms of Use are hereby rejected and therefore do not apply to the relationship between Technostate and you.

• In the event that one or more of the provisions in these Terms of Use are found to be wholly or partially invalid, the remaining provisions will remain in force. Technostate will formulate new provisions to replace the invalid provisions, whereby the scope of the original provisions will be carefully considered.

• Technostate may unilaterally change these Terms of Use. The amended Terms of Use are immediately applicable to any Agreements entered into after the amendments have been implemented, and 30 days after written announcement of the amendment to you for previously existent Agreements. You will be subject to, and will be deemed to have been made aware of and to have accepted, the changes in any revised Terms of Use by your continued use of the Website after the date such revised Terms of Use are posted.

• Except as supplemented by additional terms and conditions, policies, guidelines or standards, these Terms of Use contains the entire legal understanding between Technostate and you and supersedes any and all prior or written understandings or agreements in relation to you access to and use of the Services.

• Supplemental terms and conditions or documents that may be posted on the Website from time to time are hereby expressly incorporated herein by reference.

• Any personal data submitted by you to Technostate will be governed by the Privacy Policy.

• The information provided on the Website is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country. Accordingly, those persons who choose to access the Website from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.

3. Performance of the Services

• Technostate shall perform the Services with reasonable skill, care and diligence.

• Technostate reserves the right to refuse Services to anyone for any reason and at any time.

• Technostate shall have the right to make changes to the Services to the extent necessary to comply with applicable law or similar requirements, or which do not materially affect the nature or the quality of the Services.

• If the Services as agreed need to be amended by Technostate due to a change of circumstances, whereby that change cannot be attributed to Technostate, Technostate may make any such amendments to the Services as it deems necessary.

• Technostate shall be entitled to engage subcontractors to perform the Services under the Agreement, either whole or in part. Technostate shall have these third parties enter into relevant confidentiality and data protection obligations.

• Anyone engaged by Technostate shall be bound by Technostate to the high standards of integrity and privacy maintained throughout the company.

• The Services may include the offering of certain free items, tickets, or other products and/or experiences by Technostate. You do not have any say in which free ticket or item you shall receive under the Services. Technostate may, at its sole and absolute discretion, determine content of its Services and what you will receive for your payment. Your only remedy if you disagree with what you receive under the Services shall be the termination of the Services under these Terms of Use.

4. Registration

• In order to access and use the Services, you will need to register and create an account (“Account”). You must provide accurate, current, and complete information in order to set up the Account. If any information provided during the registration process or thereafter is or becomes inaccurate, false or misleading, Technostate has the right to suspend or terminate the Account.

• You must maintain the confidentiality of the passwords and Account information and you hereby further agree to notify Technostate if you suspect a password is lost, stolen, or disclosed to an unauthorized third-party, or otherwise may have been compromised.

• Technostate reserves the right to remove, reclaim, or change a username you select if we determine, at our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable.

• You shall duly inform Technostate of any fact and circumstances that may be relevant in connection with the execution of the Services.

• You shall guarantee the correctness, completeness, and reliability of relevant information provided to Technostate.

5. Use of the Website

• By using the Website, you represent and warrant that: (1) all registration information you submit will be true, accurate, current, and complete; (2) you will maintain the accuracy of such information and promptly update such registration information as necessary; (3) you have the legal capacity and you agree to comply with these Terms of Use; (4) you are not a minor in the jurisdiction in which you reside; (5) you will not access the Website through automated or non-human means, whether through a bot, script or otherwise; (6) you will not use the Website for any illegal or unauthorized purpose; and (7) your use of the Website or the Services will not violate any applicable law or regulation.

• If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of the Website (or any portion thereof).

• When using the Website and/or the Services, you shall not:

• Use the Website and/or Services in such a way as to offend or interfere with the use by any other user;

• Sell or trade any items or products through our Website and/or platform, other than those that the platform is meant for and as regulated by Technostate;

• Upload, submit, publish, transmit or otherwise communicate any content on our Website and/or platform that

1. is defamatory, libellous, or inaccurate;
2. is abusive or threatening towards others;

• is offensive, hateful, obscene, or pornographic;

1. infringes the intellectual property rights of any third party;
2. violates the law or regulation of your jurisdiction, or these Terms of Use;
3. advocates illegal activity;

• advertises or otherwise solicits funds; or
• is treated as confidential.

• Attempt to circumvent our security systems;

• Transfer, by any means possible, the license granted to you for the use of our Services;

• Infringe in any way on any intellectual property rights from Technostate or any third parties;

• Use the Services in a manner harmful to minors;

• Use the Services for any illegal purpose, or in violation of any local, state, national, or international law, including, without limitation, laws governing intellectual property and other proprietary rights, and data protection and privacy;

• Attempt to gain access to other users’ Accounts;

• Impersonate any person or entity or falsely claim an affiliation with any person or entity;

• Use our Website and/or platform for any other purpose than intended by Technostate;

• Upload or submit content that contains viruses, or any other computer code, corrupt files, or programmes designed to interrupt, destroy, or limit the functionality, or to disrupt any software, hardware, or other equipment;

• Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Services and/or platform or any part thereof.

• We reserve the right, but not the obligation, to: (1) monitor the Website for violations of these Terms of Use; (2) take appropriate legal action against anyone who, in our sole discretion, violates the law or these Terms of Use, including without limitation, reporting such user to law enforcement authorities; (3) in our sole discretion and without limitation, refuse, restrict access to, limit the availability of, or disable (to the extent technologically feasible) any of your contributions or any portion thereof; (4) in our sole discretion and without limitation, notice, or liability, to remove from the Website or otherwise disable all files and content that are excessive in size or are in any way burdensome to our systems; and (5) otherwise manage the Website in a manner designed to protect our rights and property and to facilitate the proper functioning of the Website the Services offered thereon.

• There may be information on the Website that contains typographical errors, inaccuracies, or omissions that may relate to the Services, including descriptions, pricing, availability, and various other information. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update the information on the Website at any time, without prior notice.

• We cannot guarantee the Website and the Services will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance related to the Website, resulting in interruptions, delays, or errors. We reserve the right to change, revise, update, suspend, discontinue, or otherwise modify the Website or the Services at any time or for any reason without notice to you. You agree that we have no liability whatsoever for any loss, damage, or inconvenience caused by your inability to access or use the Website or the Services during any downtime or discontinuance of the Website or the Services. Nothing in these Terms of Use will be construed to obligate us to maintain and support the Website or the Services or to supply any corrections, updates, or releases in connection therewith.

6. Fees and payments

• Any amounts displayed on the Website or made known to you in any other way shall be in Swedish Krona, including applicable taxes, except if explicitly stated otherwise. Typing errors and price changes are reserved.

• Technostate reserves the right to refuse the service if there is a mistake or a technical error with the website for example (but not only) in the shop.

• Technostate reserves the right to change its fees and rates, provided that such change is reasonably communicated to you in advance of your participation in the Services.

• You shall be responsible for any and all charges, fees, taxes, surcharges, and other expenses arising out of the relationship with Technostate, including those incurred in order to receive payments.

• Technostate accepts the following forms of payment: Visa, Mastercard, American Express, PayPal, Swish, and Klarna.

• You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Website. You further agree to promptly update Account and payment information, including email address, payment method, and payment card expiration date, so that we can complete your transactions and contact you as needed.

• You authorize us to charge your chosen payment provider for any such amounts on a recurring basis without requiring your prior approval for each recurring charge, until such time as you cancel the applicable order. We reserve the right to correct any errors or mistakes in pricing, even if we have already requested or received payment.

Memberships

• The basic membership on the Website allows you entrance to our member-only events. The standard membership shall give you up to 10% discounts on our merchandise and events, and access to our members-only events (not free). The special membership shall give you up to 25% discounts on the merchandise and events, 1 free festival ticket per year, occasionally free items from our merchandise, and free access to members-only events.

• By signing up for a membership, you agree to monthly payment dates. If the you have not paid within 7 days of these payment dates, Technostate shall send a notice to you. If you still fail to make a payment within 14 days of receiving the notice from Technostate, any portion of any amount payable shall accrue interest at the maximum statutory rate permitted by applicable law, from the due date until paid.

• Technostate has the right to seize its Services until you fulfill all payments due. The Services shall be reinstated once payment has been made in full.

• If you remain in default for over 60 days, Technostate will proceed to recovery. The costs related to these proceedings will be borne by you. If you is declared in default, you will owe Technostate, in addition to the principal sum, statutory (commercial) interest, (extra)judicial collection costs, attorney’s fees, and possibly other damages.

• In the event of liquidation, bankruptcy, or suspension of payment of you, the claims of Technostate on you shall become immediately due and payable.

• After you enter into a membership on our Website, you have 14 days to withdraw from and cancel the Services. You may do so without giving any reason and you shall receive a full refund for any amounts paid.

7. Term and termination

• The Agreement shall commence on the date these Terms and Conditions have been accepted and shall continue in force while you use the Website and/or the Services.

• You may terminate your Account anytime without giving any notice and without incurring any additional liabilities.

• Without limiting any other provision of these Terms of Use, we reserve the right to, in our sole discretion and without notice or liability, deny access to and use of the Website and the Services (including blocking certain ip addresses), to any person for any reason or for no reason, including without limitation for breach of these Terms of Use or of any applicable law or regulation.

• If we terminate or suspend your Account for any reason, you are prohibited from registering and creating a new Account under your name, a fake or borrowed name, or the name of any third party, even if you may be acting on behalf of the third party. In addition to terminating or suspending your Account, we reserve the right to take appropriate legal action, including without limitation pursuing civil, criminal, and injunctive redress.

• Provisions herein which expressly or by implication survive termination shall continue in full force and effect.

• Classes and courses can be transferred to another day but we have a no refund policy on our shop.

8. Force Majeure

• In the event of force majeure, there is no shortcoming attributable to Technostate. Force majeure in these Terms of Use is understood to mean any circumstance independent of the will of Technostate - even if it was foreseeable at the time the Agreement was concluded - which permanently or temporarily prevents fulfilment of the Agreement, and - to the extent not already therein included – war; danger of war; civil war; natural occurrences such as, but not limited to, fires, explosions, earthquakes, drought, tidal waves, and floods; riot; strike; transport difficulties; computer malfunctions; power outages; a pandemic, epidemic or any other threat to public health; staff illness; and all external causes, foreseen or not foreseen, on which Technostate does not have any influence. To the maximum extent permitted by applicable law, Technostate shall not be liable for any compensation for any loss arising from force majeure.

9. Limitation of Liability

• To the maximum extent permitted by law, Technostate makes no representations or warranties about the accuracy, correctness, quality or completeness of any information provided on or through the Website, or any of the information regarding the Services provided by Technostate.

• Technostate is not liable for possible damage caused under these Terms of Use or under the Agreement, both by itself and by third parties, except in the case of intent or deliberate recklessness on the part of Technostate, provided that it has been demonstrated by you.

• To the maximum extent permitted by law, Technostate shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from: (a) your use or inability to use our Services or (b) any conduct of any party other than Technostate itself.

• You indemnify Technostate against all claims from third parties for compensation of damage, including reasonable attorneys’ fees and costs. If Technostate is held liable by a third party in relation to these Terms of Use and any Services performed, you are obliged to pay Technostate all costs related to thereto, and you are obliged to take responsibility for the liability directly (inter alia) by notifying the third party that Technostate is not liable, but that you are. If you fail to do so, this automatically creates a right to claim from Technostate against you for the amount for which Technostate is held liable.

• You are liable for all damage that Technostate may suffer as a result of a failure attributable to you in the fulfilment of the obligations arising from the Terms of Use.

10. Intellectual Property Rights

• The Website and any content thereon are protected by applicable intellectual property laws and you agree to respect them. All rights not expressly granted to the you are reserved by Technostate and its affiliates.

• Intellectual Property Rights shall mean all patents, inventions, models, copyright, trademarks, business and domain names, rights in design, rights in software, moral rights, and any other intellectual property rights, whether registered or unregistered. Any pre-existing intellectual property rights of Technostate made available for or in connection with the provision of the Services shall remain vested in Technostate. You hereby receive a non-exclusive, non-transferable licence to use those rights insofar necessary to perform or to enjoy the Services.

• Unless otherwise agreed upon in writing, Technostate retains all rights and powers that accrue to it with regard to the Intellectual Property Rights in the works produced by it. The ownership of the works and Services supplied by Technostate such as video productions, provided ideas, images, concepts, source code, database designs, scripts, text, illustrations or (test) designs etc. therefore remains wholly owned by Technostate. The aforementioned elements that form part of the works produced by Technostate may not be multiplied, reproduced or modified without written permission from us.

• You are prohibited from reproducing, duplicating, copying, selling, reselling, or exploiting any portion of the Services without express written permission by Technostate.

• You are prohibited from using our trademarks, logos, slogans, and service marks for any purpose. You are equally prohibited from modifying, copying, distributing, transmitting, displaying, publishing, selling, licensing, creating derivative works, or using any content available on or through our Website, whether or not this constitutes copyright infringement.

11. Privacy

• We care about data privacy and security. Please review our Privacy Policy at http://www.technostate.se/privacy. Please be advised the Website and the Services are hosted in Sweden. If you access the Website or the Services from any other region of the world with laws or other requirements governing personal data collection, use, or disclosure that differ from applicable laws in Sweden, then through your continued use of the Site, you are transferring your data to Sweden, and you expressly consent to have your data transferred to and processed in Sweden.

12. Complaints Procedure

• Complaints about the implementation of the Agreement or these Terms of Use must be submitted fully and clearly to Technostate within a reasonable time after the you discovered the defects.

• You must, in any case, give Technostate two (2) weeks to resolve the complaint in mutual consultation.

13. Disputes

• Informal Negotiations.To expedite resolution and control the cost of any dispute, controversy, or claim related to these Terms of Use (each a "Dispute" and collectively, the “Disputes”) brought by either you or us (individually, a “Party” and collectively, the “Parties”), the Parties agree to first attempt to negotiate any Dispute (except those Disputes expressly provided below) informally for at least thirty (30) days before initiating arbitration. Such informal negotiations commence upon written notice from one Party to the other Party.

• Binding Arbitration. Any Dispute arising from the relationships between the Parties to this contract shall be determined by one arbitrator who will be chosen in accordance with the Arbitration and Internal Rules of the European Court of Arbitration being part of the European Centre of Arbitration having its seat in Strasbourg, and which are in force at the time the application for arbitration is filed, and of which adoption of this clause constitutes acceptance. The seat of arbitration shall be Stockholm, Sweden . The language of the proceedings shall be Swedish and/or English. Applicable rules of substantive law shall be the law of Sweden.

• Restrictions. The Parties agree that any arbitration shall be limited to the Dispute between the Parties individually. The the full extent permitted by law, (a) no arbitration shall be joined with any other proceeding; (b) there is no right or authority for any Dispute to be arbitrated on a class-action basis or to utilize class action procedures; and (c) there is no right or authority for any Dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.

• Exceptions to Informal Negotiations and Arbitration.The Parties agree that the following Disputes are not subject to the above provisions concerning informal negotiations binding arbitration: (a) any Disputes seeking to enforce or protect, or concerning the validity of, any of the intellectual property rights of a Party; (b) any Dispute related to, or arising from, allegations of theft, piracy, invasion of privacy, or unauthorized use; and (c) any claim for injunctive relief. If this provision is found to be illegal or unenforceable, then neither Party will elect to arbitrate any Dispute falling within that portion of this provision found to be illegal or unenforceable and such Dispute shall be decided by a court of competent jurisdiction within the courts listed for jurisdiction above, and the Parties agree to submit to the personal jurisdiction of that court.

14. Applicable law

• Only the laws and regulations of Sweden apply to the legal relationship between Technostate and you.

• The Courts of Stockholm are authorized (in the first instance) to take cognizance of any dispute between Technostate and you, unless otherwise required by law.
